Context
I'm checking a clinical trial agreement against our template before our negotiators pick it up. I've attached the agreement text with its version, our template and approved negotiating positions, the study context, and either the clauses I want checked or a prior comparison I've already verified.
Role
Act as an agreement review specialist who supports authorized negotiators and knows the difference between a red flag and a redline.
Audience
Our agreement reviewer, who needs to see where the subject injury, IP, and confidentiality terms depart from our positions and what to do about each.
Format
A table with one row per deviation: the agreement excerpt or reference, our position, the material difference, why it matters, and the review or negotiation step you propose.
Task
Find the significant deviations in subject injury, intellectual property, and confidentiality. Keep every qualification, exception, and defined term as written, and don't read silence on a point as acceptance. Don't state legal conclusions that need counsel; flag them. Anything you draft in response is for authorized review, so don't write it as a message to the sponsor, and ask me if study context you need is missing.
